Mente Elements Website Terms of Use

You may use the Site only for lawful purposes and in a manner consistent with these Terms. By accessing or using the Site, you acknowledge that your use is subject to these Terms. Product-specific agreements that require affirmative acceptance are presented separately through the applicable product or service.

You may not use the Site to interfere with its security or operation, attempt unauthorized access to systems or data, introduce malicious code, scrape or systematically extract content except as permitted by law, impersonate another person, or use the Site in a manner that violates applicable law or the rights of another person.

The Site is provided for general company and product information. Product descriptions, availability, pricing references, launch timing, feature descriptions, and other information may change. The Site does not itself provide investment, financial, tax, legal, or trading advice.

TickPoint is a separate web application with its own Terms of Service, Privacy Policy, and Futures Trading Risk Disclosure. If you create a TickPoint account or subscription, the product-specific terms presented in TickPoint govern that use.

Use of the Site is also subject to the Mente Elements Privacy Policy. Personal information is handled as described in that Privacy Policy. Mente Elements may provide personal information to service providers only as described in the Privacy Policy and only as reasonably necessary to operate the Site, provide requested services, maintain security, or comply with applicable law.

The Site and Mente Elements-created text, graphics, logos, design, product descriptions, software descriptions, documentation, and other content are owned by or licensed to Mente Elements and are protected by applicable intellectual-property laws.

You may access and use Site content for your personal, lawful, non-commercial use. Except where permitted by law or authorized in writing, you may not copy, republish, sell, license, distribute, modify, create derivative works from, reverse engineer, remove proprietary notices from, or commercially exploit Mente Elements content or software made available through the Site.

The Site may link to third-party websites, resources, or services. Mente Elements does not control those third parties and is not responsible for their independent content, availability, privacy practices, security practices, or terms. A link does not necessarily constitute endorsement or affiliation.

When you contact Mente Elements electronically or when Mente Elements provides a notice electronically in connection with a request or relationship, you consent to receive those communications electronically to the extent permitted by applicable law. Product-specific electronic communications are governed by the applicable product terms and privacy policy.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." MIRROREDGE DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

MIRROREDGE DOES NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT SITE CONTENT WILL ALWAYS BE COMPLETE, CURRENT, OR FREE FROM ERRORS. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRROREDGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE SITE, INCLUDING LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITY, OR USE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRROREDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Mente Elements and its officers, employees, agents, and service providers from third-party claims, losses, liabilities, costs, and reasonable attorneys' fees arising from your unlawful or prohibited use of the Site, your material violation of these Terms, or your violation of another person's intellectual-property, privacy, or other legal rights. Mente Elements may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate in the defense.

Mente Elements may modify, maintain, restrict, suspend, or discontinue parts of the Site when reasonably necessary for operations, security, maintenance, legal compliance, or business changes. Mente Elements may restrict access associated with misuse, security threats, unlawful activity, or material violations of these Terms.

Except where applicable law requires otherwise, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any court proceeding arising from these Site Terms will be brought in an appropriate state or federal court in Florida as permitted by applicable law. Product-specific dispute-resolution provisions, including any arbitration agreement in the TickPoint Terms of Service, are governed by those separate product terms.

Mente Elements operates the Site from the United States. If you access the Site from another jurisdiction, you are responsible for compliance with laws that apply to your access and use.

Mente Elements may update these Terms to reflect changes in the Site, business operations, technology, or applicable law. When a change is material, Mente Elements may provide notice by posting the revised Terms with an updated effective date, by a prominent Site notice, or by another reasonable method when appropriate. Changes apply prospectively from their stated effective date to the extent permitted by applicable law.

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law. Mente Elements' failure to enforce a provision does not waive its right to enforce that provision later. These Terms do not create a partnership, joint venture, employment, agency, brokerage, advisory, or fiduciary relationship between you and Mente Elements.
